simTrade Terms of Use

These Terms of Use govern your use of the simTrade website and applications, including versions distributed via the Apple App Store and Google Play.

1. Introduction

Welcome to simTrade (“simTrade”, “we”, “us”, or “our”). These Terms of Use (the “Terms”) form a legally binding agreement between you and simTrade and govern your access to and use of:

  • The simTrade website and any associated domains (the “Site”);
  • The simTrade mobile applications for Apple iOS (via the Apple App Store) and Android (via Google Play) (the “Apps”); and
  • Any related services, content, and features (together with the Site and Apps, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

Nothing in these Terms constitutes legal, financial, investment, or tax advice. For legal guidance tailored to your situation, please consult a qualified professional.

2. Eligibility

You may use the Service only if you:

  • Are at least 18 years old, or the age of majority in your jurisdiction; and
  • Have the legal capacity to enter into a binding agreement with simTrade and are not barred from using the Service under any applicable laws.

3. Description of the Service – Simulation Only

simTrade is a paper-trading simulator. It allows you to log and track simulated trades using real or delayed market data and to analyze strategy performance without risking real money.

simTrade does not:

  • Execute real trades on your behalf;
  • Connect directly to your brokerage or exchange accounts, unless clearly and separately stated;
  • Hold or move real funds or assets; or
  • Provide personal investment recommendations tailored to your circumstances.

Any balances, positions, profits, or losses displayed in the Service are simulated and for educational and informational purposes only.

4. No investment, financial, or professional advice

The Service is provided solely for education, experimentation, and strategy testing. Information, analytics, statistics, and insights generated by simTrade, including AI-driven suggestions, do not constitute:

  • Investment, financial, or trading advice;
  • Legal, tax, or accounting advice; or
  • Recommendations to buy, sell, or hold any security, asset, or instrument.

You are solely responsible for any real-world trading or investment decisions you make. You should carefully evaluate your own financial situation and tolerance for risk and, where appropriate, consult an independent financial professional.

5. Accounts and security

Some features of the Service may require you to create an account or provide certain information. You agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your information as needed;
  • Keep your login credentials secure and not share them with others; and
  • Notify us immediately at contact@simtrade.app if you suspect unauthorized access to your account.

You are responsible for all activities that occur under your account, whether or not authorized by you.

6. Subscriptions, in-app purchases, and payments

simTrade may offer free and paid tiers, in-app purchases, or subscriptions. Pricing, features, and availability may vary by region, platform, and time.

If you purchase a subscription or in-app content through the Apple App Store or Google Play, the transaction is processed by Apple or Google, respectively, and is subject to their payment terms, refund policies, and subscription management tools. simTrade does not directly process those payments and cannot override the payment provider’s rules.

You are responsible for reviewing the applicable platform’s terms (for example, Apple Media Services Terms and Google Play Terms of Service) and managing your subscription (including cancellation and renewal) through the relevant store.

7. License and permitted use

Subject to your compliance with these Terms, simTrade grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Site for your personal, non-commercial use; and
  • Download, install, and use the Apps on devices you own or control, solely for your personal, non-commercial use.

You must not:

  • Copy, modify, adapt, translate, or create derivative works of the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, except where permitted by law;
  • Use the Service to develop or train competing products or services;
  • Use the Service for any unlawful or fraudulent purpose, or in violation of any applicable law or regulation;
  • Bypass or circumvent security features or access controls; or
  • Use any automated means (such as bots or scrapers) to access the Service, except as expressly permitted by simTrade.

8. User content

You may input or create content in the Service, such as simulated trades, notes, labels, strategies, or other data (“User Content”). You retain ownership of your User Content. By using the Service, you grant simTrade a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use your User Content for the purposes of:

  • Providing and improving the Service;
  • Generating analytics, statistics, or insights (including in aggregated or anonymized form); and
  • Operating and securing our systems.

You are responsible for ensuring that your User Content does not infringe any third-party rights or violate any law. We may remove or restrict access to User Content that we reasonably believe breaches these Terms.

9. Intellectual property

The Service, including all software, design, logos, trademarks, trade names, graphics, text, interfaces, and other content (excluding your User Content), is owned by or licensed to simTrade and is protected by copyright, trademark, and other intellectual property laws.

Except for the limited license granted above, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise. You must not remove, alter, or obscure any proprietary notices on or within the Service.

10. Third-party services and links

The Service may include links to third-party websites, content, or services (including brokerages, data providers, or educational resources). These are provided for convenience only. simTrade does not endorse, control, or assume responsibility for third-party content or practices.

Your use of any third-party services is at your own risk and subject to their terms and privacy policies.

11. Additional terms for Apple App Store users

This section applies to any use of the simTrade App obtained through the Apple App Store on an Apple-branded device.

  • These Terms constitute an agreement between you and simTrade only, not Apple. Apple is not responsible for the App or its content.
  • Your use of the App must comply with the Apple Media Services Terms and Conditions and any applicable App Store policies.
  • simTrade, not Apple, is solely responsible for:
    • The App and its performance;
    • Any maintenance or support services (unless otherwise stated); and
    • Addressing any claims relating to the App, including product liability, legal compliance, or consumer protection claims.
  • In the event of any failure of the App to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price (if any) paid for the App. To the maximum extent permitted by law, Apple will have no other warranty obligations with respect to the App.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • You and simTrade acknowledge that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to the App, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

12. Additional terms for Google Play users

This section applies to any use of the simTrade App obtained through Google Play on an Android device.

  • Your use of the App obtained through Google Play must comply with the Google Play Terms of Service and any applicable Google policies.
  • Google is not responsible for providing support for the App, nor for addressing claims relating to the App or your possession and/or use of it.
  • Any purchases or subscriptions made through Google Play are processed by Google, and refunds or billing issues are governed by Google’s policies.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. simTrade specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, simTrade does not warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Market data, analytics, or other content will be accurate, complete, or up to date; or
  • Simulated results will reflect actual or future market performance.

You use the Service at your own risk. You remain solely responsible for any real-world financial decisions.

14. Limitation of liability

To the maximum extent permitted by law, in no event shall simTrade, its affiliates, or their respective directors, officers, employees, or agents be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, goodwill, or other intangible losses; or
  • Damages resulting from:
    • Your access to or use of, or inability to access or use, the Service;
    • Any conduct or content of other users or third parties;
    • Any content obtained from the Service; or
    • Unauthorized access, use, or alteration of your transmissions or data.

In all cases, simTrade’s total aggregate liability arising out of or in connection with the Service and these Terms shall be limited to the greater of: (a) the amount you paid to simTrade (if any) for use of the Service in the twelve (12) months preceding the claim, or (b) the equivalent of US $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such cases, the above limitations may apply only to the extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless simTrade and its affiliates, and their respective directors, officers, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of, or inability to use, the Service;
  • Your violation of these Terms or any applicable law or regulation; or
  • Your User Content or any infringement of any third-party rights.

16. Termination and suspension

We may suspend or terminate your access to the Service, or any part of it, at any time with or without cause, including if we reasonably believe that you have violated these Terms or that your use may cause harm or legal liability.

Upon termination, your right to use the Service will immediately cease. Certain sections of these Terms, including those relating to intellectual property, disclaimers, limitation of liability, and indemnification, will survive termination.

17. Changes to the Service and these Terms

We may update or modify the Service at any time, including adding or removing features, or discontinuing the Service in whole or in part.

We may also update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice within the Service or on our Site. By continuing to use the Service after changes become effective, you agree to the updated Terms.

18. Governing law and dispute resolution

The laws that apply to these Terms and any disputes arising out of or relating to the Service may depend on your country or region of residence and mandatory local consumer laws.

Where permitted by law, you and simTrade agree to attempt to resolve any dispute informally first by contacting us at contact@simtrade.app. If we cannot resolve the dispute informally, we each agree to submit to the jurisdiction and venue of the courts that have lawful authority over the matter, as determined by applicable law.

19. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms, together with our Privacy Policy and any additional terms presented within the Service, constitute the entire agreement between you and simTrade regarding the Service.
