simTrade End User License Agreement

This End User License Agreement (“Agreement”, “EULA”) is a legal agreement between you (“you”, “User”) and simTrade (“simTrade”, “we”, “us”, or “our”) regarding your use of the simTrade mobile applications and related services (collectively, the “Application” or “Service”). By downloading, installing, or using the Application, you agree to be bound by this EULA. If you do not agree, do not install or use simTrade.

1. Eligibility and acceptance

By using simTrade, you represent that you are of legal age in your jurisdiction or have obtained parental or guardian consent where required. Your installation or use of the Application constitutes acceptance of this EULA.

2. License grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install the Application on a device that you own or control; and
• Use the Application solely for your personal, non-commercial purposes, in accordance with this EULA and any applicable App Store or Google Play terms.

3. Restrictions on use

You agree that you will not:

• Modify, adapt, translate, reverse-engineer, decompile, or disassemble any portion of the Application, except where permitted by applicable law;
• Copy, distribute, sell, rent, lease, sublicense, or otherwise transfer the Application to any third party;
• Use the Application for any unlawful, harmful, fraudulent, or malicious purpose;
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to systems or data;
• Use the Application in a way that violates applicable laws or regulations, including financial or securities regulations.

4. Simulation only – no real trading or financial advice

simTrade is a paper-trading simulator. It is intended for learning, practice, and strategy testing only. The Application:

• Does not execute real trades or orders on any exchange or brokerage;
• Does not provide personalized investment, tax, or financial advice;
• Does not guarantee the accuracy of market data or simulated performance.

Any trading decisions you make in real markets are entirely your responsibility. You should not rely on simulated performance in simTrade as an indicator of future results or as a substitute for professional advice.

5. Accounts and security (if applicable)

If simTrade allows or requires you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly at contact@simtrade.app if you suspect any unauthorized access.

6. Intellectual property

simTrade, including its design, features, trademarks, logos, and underlying code, is owned or licensed by us and protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any ownership rights in the Application or related content.

7. Third-party services and links

The Application or website may reference third-party websites, services, or content, such as educational materials, brokerages, or analytics tools. We do not control and are not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.

8. Apple App Store–specific terms

If you obtained simTrade via the Apple App Store, the following additional terms apply:

• This EULA is between you and simTrade only, not Apple. Apple is not responsible for the Application or its content.
• Apple has no obligation to provide maintenance or support for the Application.
• If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation.
• Apple is not responsible for addressing any claims by you or any third party relating to the Application or your possession or use of it, including product liability claims or any claim that the Application fails to conform to legal or regulatory requirements.
• In the event of a third-party claim that the Application infringes a third party’s intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of such claim.
• You agree to comply with applicable third-party terms of agreement when using the Application on an Apple device.
• Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

9. Google Play–specific terms

If you obtained simTrade via Google Play, your use of the Application is also subject to the then-current Google Play Terms of Service and policies. Google is not responsible for the performance of the Application or for any claims arising from your use of the Application.

10. Updates and changes to the Application

From time to time, we may release updates, bug fixes, or new versions of simTrade. We may automatically update the Application on your device or require you to install updates in order to continue using certain features. This EULA will apply to such updates unless they are accompanied by a different agreement.

11. Termination

We may suspend or terminate your access to the Application at any time if:

• You breach this EULA or any applicable law;
• We are required to do so by law or by a platform provider (Apple or Google);
• We decide to discontinue the Application or any part of the Service.

Upon termination, the license granted to you under this EULA will end, and you must stop using the Application and delete it from your devices. Sections that by their nature should survive termination (such as disclaimers, limitations of liability, and governing law provisions) will continue to apply.

12. Disclaimers

The Application is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Fitness for a particular purpose;
• Merchantability;
• Non-infringement; and
• Accuracy, reliability, or completeness of any simulated trading results or market data.

13. Limitation of liability

To the maximum extent permitted by law, simTrade and its officers, employees, and affiliates will not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages; or
• Loss of profits, revenue, data, or goodwill,

arising out of or in connection with your use of (or inability to use) the Application, even if we have been advised of the possibility of such damages. Our total aggregate liability arising from or relating to this EULA or the Application will be limited to the amount you paid (if any) to download or use simTrade.

14. Governing law and jurisdiction

This EULA and any disputes arising out of or related to it will be governed by the laws of the jurisdiction in which simTrade is established or, where applicable, your country of residence, without regard to conflict of law principles. Where required by platform rules or local law, you may also have certain statutory rights which are not affected by this EULA.

15. Changes to this EULA

We may update this EULA from time to time, for example to reflect changes to the Application, legal requirements, or our business practices. When we make material changes, we will update the “Last updated” date at the top of this page and may also provide additional notice within the app or on our website. If you continue to use simTrade after the updated EULA becomes effective, you are deemed to have accepted the changes.
